We're existing Vistana Owners and are considering buying MVC Pts on the resale market. We are already paying the yearly 'Club Dues' to Vistana (aka Abound/Marriott), do we have to pay additional Club Dues Fees when purchasing the resale points?

As long as they correctly associate the MVC ownership with the VSN ownership, it should be just one Club Dues payment. The problem is, they sometimes have issues connecting these things properly.

Thank you! The escrow agent is asking us to pay the seller's club dues, but I think we shouldn't, since we will pay our own.

The fee may need to be paid in order for the transfer to be completed. You may just need to consider it a cost to provide for a smooth transfer.

Thanks for your note! We already offered the seller more than they asked (since we want to pass ROFR), so I think it is fair to ask that they pay the club dues on this transaction...

This should have been clearly spelled out in the buy/sell agreement so it doesn't come up after the fact.... Keep it in mind for the next time you make an offer.
