Didn’t see that one coming. Is this more Max inventory?

Well, golly. Will be interesting to see how this plays out for VOI owners.

My guess: The transaction is 'expected' to close in 1H2024, so I'm thinking BG will continue to operate as a "wholly owned subsidiary" of HGV for at least a year, until HGV management gets a good feel for the internal management of BG. So my guess is no change to BG VOI ownership privileges &tc until (at earliest) 2H2024, more likely 1H2025.
I don't expect BG owners would have access to HGV properties until the VOI ownership systems get integrated.
It's also possible that HGV could decide to keep BG as a "wholly owned subsidiary" and keep the properties separated, given the difference between HGV resort management philosophy and the BG philosophy.
Will be an interesting BG VOI-ownership ride the next couple of years.

I think to make this work and worthwhile for HGV, the affiliation with Hilton Hotels would have to be included somehow. Hilton is introducing many new lower tier brands that many younger travelers use. Could they be courting them? Get them in the system and upgrade (HGV loves the upgrade path). More steps = more money in sales.

Based on the HGVC and DRI merger, BG will continue to operate as a separate club. In order to have access to the other clubs, a member must make a new retail purchase to become a Max member. This will get allow them to exchange into another club at a reduce window (currently 6 month window).

What do you mean by 6 month window?

I am in HGVC. In general, I can exchange into most HGVC resorts when the club window opens (9-months) {of course, assuming availability}. An HVC (former DRI) member who upgraded to Max can not exchange into an HGVC resort until 6-month out. So a Max member exchanging into another club will be getting the leftovers. Now, I would expect BG when added to the Max program will work the same way. It also looks like it is an exchange program similar to RCI.

This is all guesswork until the official what's-going-on and what-it-means documents appear on the BG owner website.

Reading the transcript of the Q&A after the HGV earnings call on 6n November:

(Analyst question / Mark Wang answer): (underline emphasis is mine)
<start snip>
Brandt Montour: And then — for those of us that don’t cover Bluegreen or maybe know that asset as well and again, contrasting with Diamond. Is it fair to say that there’s no friction that you expect from the removal of the Bluegreen brand from the consumer process, right? The consumer is always sensitive to sort of confusion and brands change around. But the Bass Pro is really where the consumer affinity lay. And so Hilton sort of cutting Bluegreen out of that process is sort of a no-risk situation. Is that right?
Mark Wang: Yes. We believe when the members at Bluegreen understand that they’re being acquired by Hilton that they’re going to be very excited about what that means for them and what that means for their club going forward. When you think about Hilton is just such an iconic lodging brand. And Bluegreen has done a great job taking care of their customers, building loyalty within their brand. But when you think about the opportunity to be able to improve your value proposition and this kind of goes back to the revenue synergy question. Part of the reason we think there’s going to be good revenue synergies on the owner side, is the ability to move across 200 properties versus 50 properties and the ability to move into the Hilton ecosystem and utilize those properties, those are powerful, right?
<end snip>
...which I interpret as folding the current BG members directly into HGV system, perhaps sooner than I thought. Or perhaps not, maybe 1H2025 is about right.

I'm still reading the HGV earnings call transcript, I may find more nuggets in there.....

Finally, there is a note on the BG owners page. Cut-and-paste follows... also attached as a .PDF

Frequently Asked Questions for Bluegreen
Vacation Club Owners, Non-Club Owners (Legacy), and Sampler Members
We recently announced our merging into Hilton Grand Vacations after entering a merger agreement. This
is an exciting chapter in our company’s history that we are confident will provide even more incredible
experiences for our owners, members, and guests. However, this is just the first step in a process that will
still require regulatory and shareholder approvals. We will continue to operate as two separate companies
until the closing, which we don’t anticipate until the first half of 2024.
While we currently don’t have all the answers yet, we want to address some questions you may have
about what this announcement means for you as a valued owner, member, and/or guest of Bluegreen
Vacations.
About the Acquisition
1. Why is Hilton Grand Vacations (HGV) acquiring Bluegreen Vacations now?
Consolidation is not uncommon in various industries, including the timeshare industry. Bluegreen is
more than 50 years old and we have a portfolio of quality properties, a strong owner base, and
strategic alliances, such as Bass Pro, Choice, and NASCAR.
In today’s environment, upgrading to enhanced technology, systems, and customer experiences is
essential. Bluegreen continues to want the best opportunities available for its owners, members, and
guests. After a thorough and comprehensive search, we selected HGV, a recognizable brand, as an
ideal partner to carry forward the legacy traditions of Bluegreen and its culture of customer service
and caring for our owners and associates.
2. How is this going to impact Bluegreen owners?
Hilton Grand Vacations is a larger company and has a wider array of offerings than Bluegreen.
Bluegreen has approximately 220,000 owners and HGV has approximately 500,000 owners.
Bluegreen has approximately 50 Club properties in its portfolio and HGV has approximately 150
properties in its portfolio.
By leveraging the best that HGV and Bluegreen have to offer in terms of brand, marketing partners,
resort experiences and talent, together we will provide expanded and unforgettable vacation
experiences and opportunities to grow in ways we never could have as separate companies.
Until notified otherwise, you will continue to access available Bluegreen inventory the same way you
do now. Bluegreen will continue to operate as an independent company until closing, which is not
anticipated until the first half of 2024.
3. Will Hilton Grand Vacations have the same focus on commitment to excellence and access?
Yes. We believe that you will continue to receive the same level of service you’ve come to expect
from us at Bluegreen, and access to your vacation ownership and membership will be seamless.
4. How can we stay informed of new developments?
Once the acquisition closes and as details are finalized, we will communicate with you to keep you
informed. If you need to speak to someone today, please utilize the chat feature on
bluegreenowner.com or call Club Services at 800-456-CLUB.
5. When will the acquisition take place?
We are only at the beginning stages. The transaction is subject to customary closing conditions,
including required regulatory and shareholder approvals. The transaction is anticipated to close
during the first half of 2024, pending all necessary and required approvals.
6. Will Bluegreen remain a publicly traded company?
No. Bluegreen will no longer remain a public company. After the closing, Bluegreen will be a wholly
owned subsidiary of HGV. HGV will continue to be traded on the New York Stock Exchange (NYSE)
under the ticker symbol “HGV.”
7. Will the acquisition affect the terms of my current timeshare ownership with Bluegreen?
Bluegreen and HGV will remain two independent and distinct companies until closing. Your vacation
ownership will remain the same and you will continue to make reservations and manage your
ownership the same way you do now. After closing, HGV will notify you of any modifications to the
reservations system.
8. Will my fees go up after the acquisition?
HGV is a professional company with years of experience in managing resorts and providing
maintenance. You will be notified should there be any change to your fees, much the same way you
are notified by Bluegreen.
9. Does this transition include HGV acquiring all of Bluegreen’s properties?
After closing, HGV will take over all Bluegreen-managed properties and acquire all
Bluegreen owned inventory.
10. It was announced that Bass Pro Shops is part of the acquisition. What does this mean
for owners?
We have been advised that Bass Pro will continue to be a strategic partner of HGV.
11. Will Bluegreen resorts be rebranded into the HGV family of brands?
We have been advised that HGV may, over time, rebrand Bluegreen properties into the HGV family of
brands. Any rebranding of resorts will take place over a phased, multi-year period.
12. Who can I contact with additional questions or concerns related to the acquisition?
Once the acquisition closes and as details are finalized, we will communicate with owners to keep
you informed. If you need to speak to someone today, please utilize the chat feature on
bluegreenowner.com or call Club Services at 800-456-CLUB.

As an HGVC owner, my experience with them has been great. I’m a full resale owner who stays away from sales at all costs. The level of service has been fantastic and my fees are relatively low. I am not a Diamond/HVC owner so I’m not sure how they feel and their experiences have been since HGV has taken over.

Based on the experience of HGV from the HGVC and DRI merger, I would expect your club to remain separate from the other clubs. HGV will then use the HGVMax program (which will require a retail purchase) in order to be able to exchange into the other clubs (probably at the 6-month mark).

This all seems to be directly contradicted by the HGV FAQs at https://club.hiltongrandvacations.com/en/news/mark-wang-announcement-bg2023 which state that cross-booking will be via the HGV Max exchange system, not a direct integration.

Thanks for the link. Since it's the acquiring company, I'll take it as more authoratative than the BG pronouncements.
First reaction after a brief reading: the increased competition for desireable BG properties from HVCMax customers will make stay-in-place BG owners unhappy, which is expected to encourage them to "upgrade" to HVCMax with a new VOI purchase.
Just remember the golden rule: Them that has the gold, makes the rules.

Exactly, expect for salespeople to try to upsell you. Don't do it, buy resale for much better access.

This is something I don't understand. Why upgrade to Max. It makes no sense other than perhaps "simplicity". You can buy a HGVC deeded week or a HVC (DRI) collection for far less or even get it for free (HVC). HVC has more restrictions on resale, but if you acquire the collection with the resorts you will most often stay in, there shouldn't be any issues.

These have been my thoughts on the matter the entire time watching the unveiling and implementation of Max from afar. If I were starting from scratch and decided to go with Hilton, I'd just buy resale deeds in each system or collection I am interested in, spending a lot less money and having earlier access to the properties I want to visit. Max brings zero benefit to an owner other than, as you said, simplicity.

Max purpose is only to benefit HGV sales (dots on a page, even if it is unbookable).

Remember if you buy DRI resell you are restricted to Booking only into your Home Collection i.e. if you buy Cabo Azul resell you can only Book into Cabo Azul and not any of the other DRI properties. If you buy DRI Hawaiian Collection resell you can only Book into DRI Hawaiian Collection.

It is not like buying Worldmark resell and able to Book into all 90+ Worldmark Resorts.
