Wyndham is closing a handful of legacy resorts - dedicated chart/tracker located in the first post for this unfolding set of events

Oops... put the time for the Shawnee Commons zoom call as 12:00 noon eastern but looking at the letter again I see it was at 10 AM and I missed it.

Anybody else join the call?

We have heard this via ‘rumors’. The call saturday had the commons board articulate that. No guarentees but i assume there is some conversation between them are thise that are managing the bankruptcy process. The commons board was articulate in the process wydham and K &L Gates is using. But clearly we are still captive of what lawyers and court define as the process . Yes there are still unknowns!

I was just following the thread before he pulled the rental conversation out? Looking for that thread specifically.
It was moved into the Debate thread. The conversation didn't start with this post and is mixed in with other conversation.

On August 4, 2026 (the "Petition Date"), Wellington Place Condominium Property Owners Association, Inc. and seven (7) related debtors (collectively, the "Debtors") filed voluntary petitions for relief under Chapter 11, Subchapter V of the United States Bankruptcy Code. from that highlighted link I came to an AI summarized page that included:

List of Equity Security Holders (Schedule A):
  • The largest equity holders are PTVO Owners Association, Inc. (49.47%), Wyndham Vacation Resorts, Inc. (21.63%), and Wellington Place Condominium Property Owners Association, Inc. itself (3.85%).
  • The remaining ownership is spread across hundreds of individual interval (timeshare) owners, each holding small fractional interests (typically ranging from approximately 0.0067% to 0.0267%).
  • This indicates the debtor is a timeshare/condominium property owners association with a highly fragmented ownership structure across many individual interval owners.

So, My question to those who may know more about this type of thing: as one of the "hundreds of interval owners" are we part of 49.47%, the 3.85%, or the leftover 25.05%? IOW, are we only part of the "remaining ownership" or are we also included as part of one or both of the "Owners Associations"?

PVTO is effectively the Club Wyndham Access association. You are not part of that. The 21.63% is what Wyndham owns as an owner within the association. You are part of Welling Place Condominium. When everything is divided up, you will get 0.0067% to 0.0267% of the proceeds based on your fractional share. On top of that will be a small slice you would get from the 3.85% of ownership that is held by the Wellington Place HOA. For that 3.85%, you should get 0.0067% to 0.0267% of the 3.85%.

Yeah I was going to post exactly that. But it raises an important question.

In essence, at Fairfield Glade, PTVO (CW Access) owns 49.47%, almost half of all intervals, Wyndham Vacation resorts owns 21.63%.

That tells me that most of the deedbacks Wyndham did got transformed into Access inventory. Once the bankruptcy is discharged, what happens to those points inside of Club Wyndham? Is this just inventory that they can in effect re-sell? Or does it come off the books? One would think that every point is in some way, shape or form, tied to an interval, and if the interval vanishes, certainly the points have to, or there would be a dilution of points to available inventory.

Right?

I'm sure those percentages look very similar at a lot of the closed resorts.

What makes you think the swapped inventory went into CWA? Do we know what those percentages were prior to the bankruptcy? I know some were disclosed in the special meetings. The inventory can't really be sold since the deeds are going away. Just like the weeks already in CWA, those are gone after the sale.

I don't know where the CWA trust is recorded, but I would expect a notice to be filed with the county where it is recorded to disclose the drop in points available within the trust.

I could be wrong (I often am), but my thought process was that the only reason why PTVO would own an interval is if it was converted to CWA inventory, and the inventory own by WVO is actual intervalls which is either weeks or UDI points.

You are correct. Though it is possible that the deeds from swaps is part of the Wyndham Vacation Resorts, Inc. (21.63%). We would really need to see the percentages from before to know where the swap inventory really went.

I don’t think they could put the recently swapped contracts into Access because there’s no timeshare regime or points associated with them. I assume the high PTVO percentage is a result of deedbacks and foreclosures getting stashed in there for the better part of two decades.

Anyone who signed a deed to do a swap would be able to tell us who the grantee was on the deed. That should tell us where the deed went. I doubt Wyndham would have taken any additional action to transfer the deed elsewhere after the swap transfer.

While true, that would not have been the case for deedbacks/Ovations/Certified Exit or people who do "equity swaps" from FFG (or any other resort) to Access back when the resort was still opened. That was what I was referring to.

FFG was an active sales center, and I bet most of their sales were to Access and they likely also offered people sales including swaps of existing FFG weeks or UDI contracts INTO access, especially towards the end.

Yeah obviously now one would think they cannot do that after the resorts have closed.

Yes, I misinterpreted, and I agree. I've always assumed a lot of Ovated/Exited/foreclosed inventory ends up in Access. I would guess the swap deeds remain in Wyndham's hands directly. I would also guess that if that inventory hasn't already been removed from the Access trust/inventory, it will be. There's a category referred to in the PTVO trust documents (section 13.6) called "inactive property interests" and it wouldn't surprise me if that designation was given to the property interests in the closed resorts as of January 1, at least until they are able to be fully withdrawn from the CWA trust.

So does that mean the the individual owners are part of the 3.85% Wellington Place HOA, or that they're the remaining 25.05% unaccounted for in that breakdown?

IDK if this part goes into the debate thread or not, but I do wonder how much of the actual owners there going down to just 25% of all ownership may have been driven by Wyndham no longer selling deeds or UDI to that resort, but instead selling/pushing CWA? I mean, CWA owned almost 50% of the entire resort, and I don't know details about how the pendulum swings... but I do wonder if over the last 20 years or so, if basically 100% of on site sales shifted from selling deeds or UDI at the resort, then that's where a lot of owners went - into CWA. So while it might seem like "wow, CWA owned 50% of the resort - there were only 25% of actual owners still around" in reality, you could have the most successful resort be basically all CWA depending on when it was sold and how that was sold. And it wouldn't really say anything about the resort.

Individual owners would be the remaining 25.05%. The 3.85% is what is currently owned by the association as a whole. Likely foreclosed intervals. It may also be a fractional interests that makes up common elements.

I feel like I saw in one of the other bankruptcy filings that maybe the HOA-owned intervals are the intervals used for scheduled maintenance?

My current understanding is that as soon as the resort closure occurred - the resorts were removed from Club Wyndham in entirety - so those contracts/deeds were removed from Club Wyndham Access (the PTVO trust), and Club Wyndham Plus (the base Club exchange network), for most resorts effective 1/1/2026. I can validate this current understanding when I next meet with Wyndham.

@comicbookman @Sandy VDH would either of you be able to check your CWA swap contract and let us know whom the grantee was on the deed transfer? Was that included in your paperwork?

It says Wyndham Vacation Resorts on mine. If you want me to check a specific document, tell me which one. There are 44 pages in my document set.
