What is the catch in resorts ownership change offers?

My friends who own good 2BR red summer week in one resort, that is part of Silver Leaf group, received call from sales person of Silver Leaf. He offers them to transfer their ownership to another resort that belong to their system. The same week, the same size, the same maintenance fee, the same right of daily use of all Silver Leaf’ facilities, they even saved their special bonus – use available nights in their first resort, that is local for them - for free or $50 fees. What was really changed - the RCI trading power was almost doubled. Since they always exchanged their week via RCI and used free bonus nights for home resort – they got incredible deal just for onetime fee $1000. Sales person will get less, since some of those money will be used for legal expences.

What is the catch? Why in this terrible time resorts came with these kind of offers?
