State Not for Profit Corporation Law vs. Timeshare Bylaws

There is a conflict between my timeshare's bylaws and the state's not for profit laws concerning the percentage of vote needed to amend the bylaws and the Articles of Incorporation. Also, the state law allows the BOD to amend the bylaws without the shareholders' input. Which prevails, the not for profit law or the timeshare bylaws?

How would you show that a not for profit corporation exists.? Does the IRS recognise it.? What language in the articles of incorporation apply. How has it operated historically. Which state was it incorporated in if different from the timeshare location.

If a true non profit exists I would imagine state law prevails, but of course this is merely opinion.
