Rescind on an Upgrade = Out of it Free and Clear?

Hello - Friends of our purchased a unit from the developer in October, and got the lock-in price for and upgrade if they come back in 12 months and do the upgrade contract. They are wondering if they purchase the upgrade, can they rescind on that contract and remove themselves 100% free and clear from ownership with Sheraton?

Any feedback you have would be great!

A few in S and VA, a single resort in NC, MD, PA, and UT, plus Jamaica and the Bahamas
If they rescind on the upgrade they would be back to what they have now. It would be as if the upgrade never happened.
