Flex VOA. . . no quorum since 2016 :-o

I own a small Sheraton Flex (85,000). Decided to look at the website for the VOA Annual Meeting and looked at the past minutes. As far back as they had posted, there was never a quorum and the meeting ended without doing any business.

The 2023 Annual meeting was called at 3p and due to lack of a quorum ended at 3:01p

I wonder if this isn't just by design. Do owners actually vote on anything? Doesn't Vistana control any and all votes and decisions for the Flex program. The trust is really just a passthrough entity that takes in the fees from HomeOption owners and pays the individual deeded HOA fees to the resorts in the trust.

The quorums are never met for any of the WVC and SVC resorts.
The only success that I know was after the WSJ-VGV Owner Revolt (2009? See 1st WSJ Thread) when Starwood allowed an Owner-only vote that put two non-SVO Owners onto the WSJ-VGV HOA BOD. I think this condition still exists.

At the WDW meeting this past week, quorum was met. I think quorum for the individual property boards is pretty easily achievable and is usually met. But for the points programs, probably MVW can control whether or not quorum is met by whether or not they choose to submit their proxies or not.

It may be in their interest to have no quorum for the annual meetings of the Flex and Abound meetings. The important thing, for them, is that ownership of the underlying weeks by the trusts, which they control, gives them de facto control of many of the underlying property HOAs, which is where important decisions get made.

The proxy for Westin Flex annual meeting was just one line to let them do anything they wanted, no specifics whatsoever. So I declined to complete it.
