Letter From Trish Harrington To Current Kauai Beach Villas Board Of Directors

Aloha Folks!

I have attached a copy of a letter that Trish Harrington, former KBV Director, has written and sent to the current BOD. It's an important letter, and I urge everyone to read it, not only to be informed, but to make sure the will of the independent owners of KBV timeshares to have their wishes and opinions be heard and responded to.

While an interesting read, the central question to this whole drama has never been adequately explained. To wit:

If the current KBV BoD lacks the authority to not renew the mgt contract (as the Trish asserts), how did the BoD in 2016 take that same action without a vote of the members? A question I suspect that Trish has some insight to - since she was the BoD President when that action occurred in Feb 23, 2016 (per the BoD minutes).

And this passage does jump out at me: "KBV’s long time legal counsel, Phil Lahne, specifically advised in a letter to the KBV Board, dated March 4, 2019, that KBV must abide by its CC&R’s and hold an election to not renew its Plan Manager."

Now if Phil Lahne was "KBV's long time legal counsel", did the 2016 BoD not seek his opinion before not renewing Wyndham's contract in 2016?

Good questions, but no one brought that up at the time. Dissatisfaction with Wyndham Management's performance had been brewing for a few years. The BOD determined that it would require a lawsuit to get out of the contract with Wyndham before it's end, so they decided just to let it ride out. At the time, there were not any owners I knew of who liked Wyndham's performance over the years. Still, Wyndham didn't object, and no one brought up the by-law. The only thing Wyndham wanted at the time was to continue to control the rentals of the non-used weeks, according to several members of the BOD.
